NOTICE OF GENERAL MEETING (4)

On 13 April 2026, at a General Meeting of Category 1 members, a unanimous vote was passed to amend the Club’s Constitution in relation to the eligibility criteria for standing for the Board, as well as the process for candidates to be considered by members for election. These constitutional changes introduce a new Board Eligibility Framework to strengthen governance and support the Group’s long-term future. The framework ensures that all Board nominees meet consistent standards of readiness, capability, and alignment with the Club’s values before standing for election.

Importantly, members will continue to retain the right to vote and determine who is elected to the Board.

Membership eligibility updates

  • The minimum membership requirement for Board eligibility increases from 3 to 5 years.
  • Members nominating for the Board must:
    • Be financial Ordinary members (excluding staff and junior sporting members); and
    • Have at least 5 years of continuous membership.
  • All members can propose and second a candidate, but must have a minimum of 5 years of continuous membership to be eligible to do so.
  • Members must attend a compulsory Pre-Nomination Workshop to be eligible to apply for the Board.
  • All Board nominees will be required to complete formal documentation to be considered by the Board Nominations Committee
  • All Board nominees will be required to attend a compulsory interview with the independent Board Nominations Panel and be recommended as a suitable candidate to be eligible to stand for the Board.
  • Suitable candidates will be presented to the members for election through a general club election.

What’s changing?

  • A Nominations Panel will review all Board candidates.
  • Candidates must be endorsed to stand for election.
  • Non-endorsed candidates cannot run or be elected.
  • Assessment is based on experience and suitability.
  • Candidates will need to attend a mandatory workshop and interview.
  • Current Directors are automatically endorsed if re-nominating.

What stays the same?

  • Members still elect the Board.

Why this matters

  • Stronger governance
  • Better mix of skills and experience
  • Improved long-term stability
  • Clear, consistent standards for Directors
